A Penalty Game is a punishment given to the loser of a Shadow Game.

In the English anime, the loser of a Shadow Duel's soul is sent to the Shadow Realm. The only people who can declare a Shadow Game are duelists with Millennium Items. While in the Shadow Realm, your body remains lifeless and spirits feed on your soul.
